Responsibilities/Qualifications

  • Unquestionable commitment to integrity.
  • Positive and upbeat (even when you really don’t feel like it!). The legal business is hard work and sometimes adversarial. The individual should be a positive, team-oriented person, and express a consistent desire to exceed expectations.
  • Creative and solutions-oriented. Fundamentally the legal department is a problem solver, and problems require creativity, good judgment, and patience (among other skills) to solve successfully.
  • A relationship builder. The position will need to work with many people in many other departments, and will need to help those people and will need to ask for help from those people. The individual must enjoy building positive relationships with other people, both within the company and very importantly with the company’s customers with whom the position interacts.
  • Business knowledge. The position must have a desire to get to know and understand the company’s technologies, products, services, and business, and be willing to put in the extra time to learn.
  • Excellent Communicator. The legal team communicates constantly – by voice, by email, by memo, by written agreements, in meetings. The individual must have very good oral and written skills and be able to present their points crisply and professionally in meetings to disparate audiences.
  • Organizational skills. The legal department handles many matters in many different areas at the same time. The individual must have particularly good skills at organizing their work, work-space and time.
  • Humor, perspective, maturity, and patience. In a hard-working environment with many competing demands, the candidate must be able to maintain perspective, balance competing priorities and have patience when other may lose theirs. A good sense of humor is an essential character trait for long-term success and happiness in a legal profession.

Education & Experience: The position requires a four-year college degree and a J.D. degree from an accredited law school, with strong academic performance. Admission to a state bar with eligibility to practice law in-house in California is also required. The position also requires at least three (3) years of corporate, commercial or contract law experience (five (5) or more years of experience is an advantage), and some business or in-house legal experience is a significant advantage. Some experience or expertise in the areas of intellectual property, data security and privacy, and/or labor and employment is also a significant advantage. Preferably the candidate will have familiarity with the technologies of the Internet and the Software as a Service (SaaS) business model. The position also requires proficiency in the Microsoft Office Suite of applications including WORD, Excel, and PowerPoint. Familiarity with CRM (customer resource management) systems such as SalesForce.com and with electronic signature systems (e.g. EchoSign) is also an advantage.

 

 

YOUR DAY TO DAY:  

 

Generally, the Corporate Counsel’s responsibilities include tracking customer contract metrics, negotiating and documenting customer and vendor agreements, researching legal issues and assisting with preparing and implementing policies and procedures. The position reports to the Chief Legal Officer (“CLO”) and works very closely with other members of the legal department, and also with team members in finance, sales, account management, sales operations, human resources and marketing. The legal department is a full service department and department members will be asked to accept projects and responsibilities within the scope of the department’s responsibilities that may not be identified in this brief description.

 

Specifically, position responsibilities include, but are not limited to:

 

  • Contract preparation and negotiation – The Corporate Counsel will be a member of the legal team supporting and working closely with the sales and account management organizations by negotiating and documenting customer facing agreements. Customer facing agreements include, among others, non-disclosure agreements, master services agreements (consisting of service orders and terms and conditions), customer renews and amendments, and reseller and referral arrangements. In addition to customer-facing contracts, the position will also have the opportunity to review and negotiate vendor side contracts and technology partner agreements. The individual will also be expected to use and assist with improving a comprehensive contract management system, and regularly updating contract templates.
  • Compliance Programs and Corporate Projects – The Corporate Counsel will work closely with the CLO and other functional areas including finance, sales, sales operations and account management to research, draft and assist with implementing policies and procedures that form a part of the company’s overall corporate compliance program. Depending up the candidate’s experience and expertise the position may also work on corporate and finance projects including possible merger and acquisition matters and corporate finance projects.
  • Intellectual Property – Depending upon the candidates experience and desire, the position may manage the legal components of the Company’s patent and trademark portfolios and projects, including participation on the Patent Committee.
  • Labor and employment - The Corporate Counsel will also have the opportunity to work closely with the Senior Director of Human Resources in researching employment law issues, drafting employment-related policies and procedures and resolving personnel matters. 
  • Legal expertise – The individual needs to maintain appropriate expertise in the areas of law applicable to technology contracts and related fields.
